We've already heard about the government's proposed Strata Title Bill 2020, back in February of this year. Correctly, it is a completely new concept and one that requires a good amount of information and education on our part as a country.Although the topic deserves an in-depth consideration, this article, however, will only touch on the general aspects of what it is and how it works. Further insights will follow a future article in due time.Now, let's consider what a strata title is all about from a general perspective. What is a strata title?A strata title - first conceived by the state of New South Wales in 1961 - is a form of title ownership or legal document designed for multi-layered apartment blocks and horizontal subdivisions with common or shared areas, when legal ownership of a single apartment block (or lot/unit) became a cause for concern. Other countries that have adopted this system (or a similar variant) from Australia include: Canada (Alberta, British Columbia), Fiji, India, Indonesia, Malaysia, New Zealand, the Philippines, Singapore, South Africa and the United Arab Emirates. Nonetheless, when you buy into a strata title scheme, you're immediately engaged in a dual-column responsibility list: partly to yourself, partly to the body corporate or owners association. In other words, you're independently responsible for the upkeep of your newly owned apartment or unit, while at the same time sharing responsibility in managing the common areas as prescribed by the strata title scheme.To elaborate on 'partly to yourself', let's consider a simple example; say a power outage occured in your unit and your freezer became faulty. All things considered, including your shared responsibilities, you would think that the body cooporate/owners association would come to your aid. Unfortunately not. The onus falls solely on you. However, if any part of the common area is damaged, every unit owner including you will share in its maintenance or replacement of that particular amenity. This is what is meant by shared responsibility and, combined with the responsibility you devote to your unit, creates the essence of a strata titled property.Now, assuming that the proposed Strata Title Bill 2020 has been passed, and several multi-layered apartment buildings have registered under the title scheme (strata), they immediately become "strata-titled properties".An important factor to note is that the flexible nature of a strata title means not only residential properties can qualify as strata titled, but also serviced apartments, commercial properties, retail and even mixed-use premises can register. What is a strata title compared to a company title?The governing policies and regulations of a company title requires that a company must own a building of units, as well as the land on which the building stands. The incumbent in this case is known as a shareholder, where he/she isn't entitled to any real estate. However, he/she (the shareholder) does have - by virtue of owning one or several shares in the company - the right to occupy a defined area or unit in that building. Unlike owning a title to a specific subdivision of the building, as with a strata title, a company title is a reflection of owning shares in a company. These shares will represent the unit(s), car park(s), and everything else specified by the strata title as being owned by you. Using the table below, we can easily outline the differences between a company title and a strata title. Key DifferencesCompany TitleStrata TitleEverything operates through the Board of Directors of the Company TitleThe directors don’t have to consult shareholders, even on big issues.A company’s constitution can sometimes be onerous and even arbitrary and can vary significantly between company titles.The company’s constitution can limit who can buy into the property, whether the property can be rented, what changes can be made to the property.Should renting be permitted there can often be limits on the length of lease term and the tenant will need to be approved by the board of directors and be subject to an interview.A company’s constitution under some circumstances can revoke a shareholders shares or force the sale of shares and right to occupy the property.It can be difficult to obtain finance from banks when buying into company titles especially in small blocks and where finance can be obtained there are restrictions on (LVR) Loan to Value Ratios.It is considered to be a fair, transparent and equitable systemA plan known as a Strata plan clearly defines the unit or lot ownership and which parts are common propertyEverything operates through an entity called the Owners Corporation.All owners get the right to vote on bigger decisions at either an Annual General Meeting or Extraordinary General Meeting.The Strata Title is governed by a legislation (e.g., The Strata Schemes Management Act 2016, etc)The building also known as a Strata Plan will have clear defined regulations known as By-laws. What is an Owners Corporation?Also known as a body corporate, an owners corporation is a legal entity usually made up of individual lot/unit owners (not tenants), with shared responsibilities in managing and maintaining the upkeep of common areas that come with a strata titled property.Because of its flexibility (strata title), major developments, especially those that offer a mix of both commercial and private lots/units, may find themselves in need of multiple committees, especially when responsibilities and costs are numerous and must be shared effectively.Other owners' corporations may even create a position for an owners corporation manager to solely handle its administrative tasks.All in all, the owners corporation begins with every lot/unit owner elected to form a committee (hence the name), so that certain decisions can be easily delegated to them. Main responsibilities of this legal entity are:Upholding all the rules and by-laws covering the property;Managing insurance for the building and common property, and administering the common funds (the fees paid by lot owners);Maintaining and repairing the common property;Keeping records, such as budgets, financial records, minutes of meetings, and a register of lot owners and committee members (if a committee has been elected). The body corporate must make this information available to owners if requested;Handling complaints or disputes between individual lot owners, on issues such as noise, car parking and anti-social behaviour, and enforcing by-laws. Your responsibility as a lot/unit owner?The moment you buy into a strata title scheme and eventually become a lot owner, there are certain key aspects you're bound to run into. What's more, you will find that this new concept will contradict everything you'd normally experience, if you owned a stand-alone house on an individual block of land. As an individual lot owner, your responsibility may revolve around the following:Obeying the by-laws set by the owners corporation you've become part of. This may come in the form of restrictions on where you and your guests can park your vehicles, or where your specific clothes line is, etc.You will be invited to take part in annual general meetings, where office bearers are voted, committees formed, and major decisions are made on account of everyone present. However, attendance is not compulsory, and as a lot owner you can appoint a proxy to attend the meeting on your behalf.Notify the owners corporation if the lot ownership has changed.You will be required to pay all your levies and prescribed fees on time, which you will have agreed to. Levy fees, in this regard, are set aside in a sinking fund to cover for major or unexpected repairs and maintenance on the property. Worthy of note, apart from the shared responsibilities, you're culpable to any and all issues that arise from your unit or lot, including repairs and maintenance, and even upgrades. You may even consider a content insurance, be that as it may, because the insurance that the owner's corporation opts for will not cover your contents. The pros and cons of a strata title schemeHaving come this far, you're probably wondering if a strata title is right for you. First things first, see yourself as a lot owner, then imagine the associated responsibilities, which should help you determine if a communal-style living is what you want. After all, when you pray for rain, you have to deal with the mud, too.An excellent idea would be to do an in-depth research on the strata titled property you're considering, as well as seeking professional advice before buying into the scheme.To help with your decision, consider this list of some customary pros and cons associated with a strata title scheme: ProsNormally, each unit, lot, apartment and townhouse under a strata title will be cheaper, on average, than buying a stand-alone house. This way, they're more affordable whilst on the market, or allow you to buy into an area which you would have otherwise considered economical.Most likely, the general upkeep of common areas won't be too much of a burden for you, as this would be the main concern for the owners corporation. For instance, there may be a limit to certain pets you can own, or you're not to do unmatched renovations on the property, etc.Decision-making in a strata title scheme can be an arduous process, and most often than not your idea or preferred course of action may not always be favored by other committee members.Depending on the building type and the varying room sizes that come with it, it's not uncommon for all lots or units to be one and the same in value, so you may find a restriction on doing upgrades to yours within the complex. The bottom lineFor so long the endeavours of affordable housing seemed implausible to the point of earning a mythical status. But this is about to change. Man has always had an infatuation with towering structures regardless of place and level of technology. From the biblical stories of the tower of Babylon, to the Great Wall of China, to the high-stilt A-frame houses of coastal Papua New Guinea; a mountain proportionate structure is synonymous with progression and modernity.ANG HOUSEThe year 1966 saw Papua New Guinea’s first high structure built with a total of 12 floors, equipped with restaurants, shopping spaces and PNG’s first elevators. Australia and New Guinea Corporation House or ANG House, was an indication that the dawn of the era of modern steel, concrete, glass and neck-craning buildings had arrived in a region that was still in the process of defining itself politically. Kina HausThe former Deloitte Tower was completed thirty three years later (1999) making it the tallest structure at fifty six meters high. The tower became iconic of downtown Port Moresby's trendy, metropolitan, working class population. It was designed by Pacific Architects Consortium and constructed by Kumagai Gumi. The building has been owned by NASFUND Ltd and its 543,000 plus beneficiaries for the last 23 years. This sturdy 18 storey structure with its glistering Prussian blue mirrors is nestled between Douglas and Musgrave street in the downtown area of the Nation's Capital. It offers tenants the convenience of walking to government offices, non-governmental multinational organizations, banking and finance institutions, shopping centres, and a multitude of restaurants, cafes, hotels and other leisure spots to choose from. ImprovementsOn the 28th November 2017, the building underwent a name change from Deloitte Tower to Kina Haus to signify PGK50 million worth of ongoing improvements to bring it on par with global standards as a prime office complex. The nature of land ownership is almost generic in many countries around the world; that is land held under freehold and leasehold. In Papua New Guinea’s case, a form of land ownership will come under either one of these two forms as well as customary land ownership. Our strong traditional connection to the land, calls for us to understand these forms of land ownership; in particular the rights, regulations and possibilities associated with them.Hausples had the opportunity to sit with Mr Benedict Batata, Commissioner for the Land Titles Commission and Mr Aquila Sampson, Acting Commissioner for the National Lands Commission to shed some light on this essential area of the [real estate market]. History of Land Titles in Papua New GuineaTaking a two hundred-year-or-so step back in our history, the traditional land owners in this country had their own mechanisms in place to deal with the issue of land ownership. These processes were aimed at mediating peace and finding a compromise between warring tribes – this same spirit we see now entrenched in our land mediation processes.The period of time which followed saw the arrival of the British Colonisers in Papua who brought along their system of land ownership used today – freehold and leaseholds, whilst recognizing traditional forms of ownership in the land by the native population. The land acquired by the colonizers were used for a variety of purposes, most commonly large plantations apparent in the New Guinea Islands.The years leading up to Independence saw the first real indication of how Papua New Guineans wanted their land to be regulated when the Commission of Inquiry into Land Matters Report 1973 suggested that upon independence, all land acquired by foreigners be given back to the traditional land owners, in particular those heavily affected by the issue of land shortages at the time. Those who kept their land at the time of Independence were required by law to have significant development made within 5 years or bear the risk of losing the land.Fast forward to 1996 and the passing of Land Act and its accompanying legislations saw the recognition of and processes to deal with land ownership; through the adopted leasehold and freeholds as well as customary land ownership. What is the Difference Between Freehold and Leasehold Titles?The most significant differences are the ownership of the land and the processes to acquire them. Leasehold Title:Leasehold titles involve a person who owns the land, but gives it to another whom will have ownership over property on the land for a period of time. In PNG, the most common form of leasehold dealing is through a State Lease lasting a maximum of 99 years. Much of ‘alienated’ land belongs to the State. As noted by by the Jones Lang Lasalle: Property Investment Guide 2014,  “97% of land in PNG is held under customary ownership for which there is no recorded title… All other land is alienated land held by the State” These statistics being from a few years ago, the percentage is likely to have increased, thus State Leases will be used as the primary example in understanding leaseholds.Another feature of leasehold titles is that once it has been registered and certified, the validity of the ownership cannot be challenged or defeated.  This feature was adopted when PNG adopted the Torrens Title System of Registration from Australia.In order to acquire a new State Lease administered by the Department of Lands and Physical Planning, the process begins with an allocation of vacant land in accordance with the plans made; that is whether a place is to be sold for residential, commercial or industrial purposes. When the allocation has been done, vacant land gets published in the National Gazette under the heading ‘Land Available for Leasing’. Individuals and companies may then apply for the lease of this land from the State.A lease may be applied for a period not exceeding 99 years and at its expiration the State is allowed, but not obliged to, renew the lease. Applications for State Leases are made to the Land Board which considers them and based on their merit, submits to the Minister for his decision. The Minister has the final say in granting or rejecting an application for a State Lease. In an instance where a lease is granted, the application will be published in the National Gazette under the heading ‘Successful Applicant.’ Freehold Title:Freehold titles indicate that the name of the person or business group on the Certificate of Title (COT) owns both the property and the land upon which it stands. Land which can be converted to freehold is originally customary land and cannot be State Land.Freehold land registration is not as commonly advocated for as the Incorporated Land Groups (ILG’s). ILG’s in comparison to freehold, involve a large number of groups or clans that have come together to register their members and respective customary land under one group. An ILG can then lease this land to businesses (most common mining companies) who operate on their land, in return paying royalties to the members of the ILG.Mr Batata outlined the process for registering a freehold title saying that “Under the Land (Ownership of Freeholds) Act, an application under Section 7 may be made to the Land Title’s Commission accompanied by survey plans of the proposed land. After deliberation, an issued Conversion Order will be given to the Registrar of Title’s (ROT) and they will issue a Certificate of Title.”The Land Title’s Commission, as Mr Batata explained “is responsible for the carrying out of investigations into applications to ensure that all interests in the land are addressed to prevent future disputes. However, if a dispute arises, the Land Title’s Commission has a mechanism in place to hear and settle disputes.” Customary Land:Making up the majority of land in PNG, it is important to take note of customary land which is also termed “unregistered land” because it doesn’t need a certificate to prove its validity. Given the country’s unique legal system which recognizes both customary and common (English) law land rights, the issue of customary land ownership and the specifics of boundaries are determined through the traditional mediation processes used by customary land owners.The option to deal with disputes in the Courts is also available which can be taken up in the Local Land Courts and Provincial Land Courts.Pictured is Eda Tano Haus, Department of Lands and Physical Planning. Located in Waigani. Photo source: ETS Architects What are the Advantages and Disadvantages of Leasehold, Freehold and Customary Land?The advantages and disadvantages for each of these title ownerships are determined by the ‘restrictions’ which are tied to the title. Leasehold Title:State Leases contain one particular restriction, which is the approved purpose specified in the lease of that land. For instance, a car workshop cannot construct their place of business when their title has been leased for the purposes of residential use. This ensures the Physical Planning conditions specified by the Department of Lands and Physical Planning are complied with. Freehold Title:All freeholds titles have “Restrictions” detailed on the back of the Certificate of Title at the time of registration. These restrictions have been specified under Section 26 of the Land (Tenure Conversion) Act prohibiting the title holder from:Transferring or leasing the land for a period longer than 25 years only with the consent of the Land BoardUsing the land as security as a consequence of bankruptcy, insolvency etc.Mr Batata, used the example of using a title as security for a loan and explained that there is a way around these regulations to allow flexibility when using the title. This process is provided for under Section 26A of the Land (Tenure Conversion) Act under which an individual can apply to the Minister to remove the restrictions on the title. The Minister refers such applications to the Land Titles Commission to conduct investigations on the title and ensure that all parties that have legal interest to the title are satisfied, after which the restrictions may be removed. Customary LandCustomary land has the potential to be utilized to benefit many people if handled properly. One way is to register land under as an Incorporated Land Groups (ILG). This, among other things, identified all of the people with an interest in the land. An example given by Mr Batata (and confirmed by a Bank employee that wished to remain anonymous), was that banks do not generally recognize Freehold titles of property when considering loan applications. Despite there being a process available to remove the restrictions on Freehold titles, the banks would be more likely to entertain a Leasehold title of property as valid security for loans. How to Conduct a Papua New Guinea Title SearchMr Sampson of the National Lands Commission of the outlined the following process to conduct a title search:1. Anybody can conduct a title search at the ROT Office by:Going to ROT Office;State that you want to do a title search;Provide volume and folio number;Provide citation to the piece parcel or portion of land i.e. section and allotment numbers as well as the Town;2. With the recent new real estate developments occurring in and outside of Port Moresby, it’s easy to disregard another growing phenomenon – settlements. The common conception in people’s minds when they hear of the settlement areas in and around the country’s urban centres are the association with crime, coupled with poor and unsanitary living conditions.Although the reality does consist, to an extent, of these unfavourable features; it is often easily forgotten that settlements are influenced by various factors which have contributed to their establishment, dynamics and growth. How are Settlements Forming?Before dwelling into the more technical elements of understanding settlements, it is important to understand how they come about to begin with. For a number or reasons such as the rural-urban drift, settlements have been known to form by an influx of people to areas through one of two common ways: the illegal occupancy of vacant State land or the selling of traditional land to settlers. This primary acquisition of land is then followed usually by the moving of wantoks to live together. It is for this reason many settlements, particularly in Port Moresby are identified by the dominant ethnic group living in that area. Who Actually Lives in Settlements and Why?The view of settlement residents has been plagued by the picture of a criminals and unemployed vagrants; however, a fact usually ignored is the harsh reality that a large composition of the residents in settlements are working class citizens forced into the settlements for a number of reasons, of particular concern has been the rapid increase in the real estate rental prices experienced around the country.The Government has shared similar concerns with this issue where it was remarked in an article from the National Newspaper by the Minister for Commerce and Industry, Wera Mori, that “Real Estate in PNG and especially in Port Moresby are so expensive, it is beyond the affordability of many public servants, citizens, including MPs like myself.” He further outlined that high dwelling costs and the prevalence of settlements is also apparent in other variurban centres such as Lae, Madang and Rabaul.The Hausples Team had the opportunity to talk with Mr. Moses Wanjik, a resident of the Morata settlement for the past 7 years, where he shared his experiences of living in the settlement. Mr Wanjik works as a carpenter for L&A Construction and has previous employment with Fletcher Morobe Construction, with his qualifications in Carpentry obtained from the Madang Technical College and Australia Pacific Training College (APTC).According to Mr Wanjik, the type of people living in the settlements range from public servants, employees of private companies and small to medium scale entrepreneurs. “These people chose to stay in settlements because they cannot afford the expensive rents in the city. In Morata, there are affordable rooms going at a rate of K200 – K250 per fortnight.” These remarks further emphasise the fact that a large portion of the working class who cannot, as an alternative, live with relatives or afford the current rental prices are forced into settlements. Are Settlements Useful?The roles that settlements play can be seen as useful or otherwise, depending on one’s perspective.For residents like Mr Wanjik, the presence of the settlements has allowed him alongside others to have a roof over their heads instead of ending up on the streets. He also shared that settlements often include amenities such as trade stores and easy access to transport services which eases the burden of traveling into the suburban areas to acquire goods and services.For those who tend to hold the negative view of settlements, it is usually from the understanding of them being used as a hub for criminal activity. This assessment was recently maintained by the Minister for National Planning and Monitoring, Richard Maru in an article by the National Newspaper. Hon. Richard Maru urged the landowners along the highway to refrain from selling portions of their land to settlers and rather invest in beneficial projects saying that “more settlements will bring more social issues to landowners, the Government and investors”.Arguably, it can also be said that the acceptance of the growth of settlements can be seen as ‘unfair’ to those who have purchased homes and land in planned communities such as Edai Town, Heliconia Ridge and Malolo Estate. Individuals in these areas are subject to a number of laws which requires them to pay for services such as electricity and water and the cost of the land itself. Past events have shown that there are realistically two main avenues which growing settlements can take; further growth or their demolition to make way for [new developments].The potential for further growth is largely determined by the class of people moving into a particular settlement whom are able to invest in the area; the best example of this would be the Morata settlement. On the verge of becoming a fully-fledged suburb, Morata has seen an influx of private individuals, whom have most commonly invested in building large homes and leasing out rooms which has attracted much of the working-class people. In addition to this has been the establishment of services ranging from transport to education such as the Morata Primary School and ClinicThe other extreme is of course the demolition of these places to make way for development, especially where the settlement has been established on State land. The best illustration of this was the demolition of the Erima settlement in 2014 to make way for an expansion of the Hubert Murray highway as well as what is now the Kumul Flyover. Documented in an article by the Post Courier, it was stated that “More than 400 people, including women and children, have been left homeless after 42 homes were smashed down by an excavator”.Sentiments shared by Mr Wanjik was that “[S]ettlements are here to stay… Settlements must be incorporated into urbanisation plans for positive development to take place”. From this point of view, it will be important to keep in mind that working-class people need a place to call home and many settlements are providing this critical service. As urban planners look toward the future of housing in Port Moresby and Papua New Guinea in general, it’s vital to ensure the nations working people are accommodate in a safe and affordable environment. Failure to do so is will only result in poor outcomes for the working class and a necessary consequence a less liveable Papua New Guinea for all.

Photo source: lands.gov.pg Only about 5% of land in Papua New Guinea belongs to the State, the remaining 95% of the land therefore belongs to customary landowners across the country. With the increasing number of tangible developments around PNG, the percentage of State owned land is set to increase meaning a lot more customary land owners will eventually be dispossessed. In an article in the Post Courier in August this year, Barney Orere explains this issue and the steps to be taken to protect one’s interest in customary land. Bringing You Up to SpeedPapua New Guineans have a very strong connection to the land which is the foundation of our many customary traditions and beliefs, even to this day the land customarily owned provides means of daily survival for those living in rural areas. Without getting too entangled in legal jargon, but in order to protect this interest, those bringing our country towards Independence ensured that our right to our land be protected in the Constitution. Hence, Section 53 of the Constitution provides that any possession or interest in any property cannot be acquired unless it is by agreement or by compulsory acquisition. Compulsorily acquisition only occurs where the land is needed for public purpose or for a reason that is reasonably justifiable in a democratic society.To enter into agreement whilst using customary land as collateral, it must be done so through an Incorporated Land Group (ILG) the process being made available for by the Incorporated Land Groups Amendment Act 2009 and the Land Registration Amendment Act 2009. Why Register Customary Land Groups?The further the State develops infrastructure, there would be a larger need for land to be acquired for public purposes. “The aim is to give prominence to landowners so they can participate in Vision 2050 by leasing their land and benefit from royalties. In that way land lying idle is put to gainful use.Land may only be acquired by the State, in accordance Section 53, where there has been just compensation paid for the land. The significant difference is that where land is compulsorily acquired, just compensation need only to be paid once. Where it is entered into by agreement, it means there has been discussions between the State and an ILG, where the ILG has leased the land to State for a certain period. When the period comes an end, the lease may be extended, meaning another payment is to be made to the ILG. The benefit of this as well is the flexibility in dealing with the land; it not only needs to be leased to the land, but corporations as well.Eda Tano Haus, Department of Lands & Physical Planning Located between Aopi Centre and Lamana Hotel, Waigani Photo source: lands.gov.pg How to Protect Your Land?Orere explains that before the need for compulsory acquisition catches up to customary land owners, they must take the proactive step to register the clan and its ownership over the land. “First you must visit the Incorporated Land Group Division and after you’ve been issued a registration certificate over your customary land, the next stop is the Customary Land Registration Division – to facilitate your land title. The processes have been accommodated by the amendments to the law to help you, the customary landowner, to do this.”, Orere says. As a further measure of protection, customary land is owned by clans and cannot be sold by individuals. One must get consent from all members to engage in its registration and subsequent business dealings. What Are the Risks Involved?“Once your customary land is registered, you can use your title as collateral to enter into the gainful activity, either through business or with the State through leasing arrangement.”, Orere remarked. Therefore, the risk involved from entering into certain activity are the same as any other commercial transaction.  A recent issue which became apparent was that agreements being entered into was not done voluntarily or with the consent of clan members which led declaring of all Special Agriculture Business Leases (SABL’s) illegal in March earlier this year. Further issues include the problems such as businesses taking advantage of the land an exploiting it for purposes unintended. In such cases, the Courts have been willing to intervene to nullify certain contracts and hold those responsible. Should You Register Customary Land?Simply put, yes. All customary landowners, whether apportionment large or small, should look to have their customarily owned land registered through an ILG because given the structure of our legal system, the State may acquire it despite objections. Director for the Customary Land Registration at the DLPP remarked “The momentum is slowly picking up to register customary land. People want to retain their bond with the land and through leasing arrangement benefit by making use of the land this way.”The only way to ensure that an interest is kept in the land and the future generations of the clans can benefit from the land will be to register the land.
